Referral Scheme: Terms and Conditions

1. Definitions

  • “Referrer”: An existing business customer of [Your Company Name] with an active account in good standing.

  • “Referred Customer”: A new business customer introduced by the Referrer who has not previously engaged with [Your Company Name].

  • “Reward”: The incentive offered to the Referrer for a successful referral, as described in the scheme details.

2. Eligibility

  • Open only to current business customers aged 18+ and legally capable of entering into binding contracts.

  • Employees, agents, and affiliates of Exizent Ltd are excluded.

  • Referred Customers must be from outside the Referrer’s corporate group.

3. Referral Process

  • Referrals must be submitted via the official referral form or approved method.

  • A referral is considered “successful” when:

  1. The Referred Customer signs a standard 12 month contract with Exizent Ltd

  2. The first payment from the Referred Customer has cleared in full.

4. Rewards

  • Rewards will be issued within 30 days of confirmation of a successful referral.

  • Rewards are non-transferable, non-exchangeable, and cannot be redeemed for cash unless explicitly stated.

  • Exizent Ltd reserves the right to substitute a reward of equal or greater value.

5. Limitations & Exclusions

  • Self-referrals or referrals within the same corporate group are ineligible.

  • Referrals obtained through misleading, unethical, or unlawful means will be disqualified.

  • Multiple Referrers for the same lead: the first valid submission will take precedence.

6. Data Protection & Confidentiality

  • Referrers must obtain consent from the Referred Customer before sharing their details.

  • All personal data will be processed in accordance with applicable data protection laws, including the UK GDPR.

  • Confidential information shared during the referral process must not be disclosed to third parties without prior written consent.

7. Compliance

  • Referrers must comply with all applicable laws, including anti-bribery, anti-corruption, and competition regulations.

  • Any breach of these obligations may result in disqualification from the scheme and forfeiture of rewards.

8. Changes & Termination

  • Exizent Ltd may amend, suspend, or terminate the scheme at any time without prior notice.

  • Changes will not affect referrals already confirmed as successful before the change date.

9. Dispute Resolution

  • Any disputes arising under these Terms & Conditions will first be addressed through good-faith negotiations.

  • If unresolved, disputes will be referred to mediation before resorting to court proceedings.

10. Governing Law & Jurisdiction

  • These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.
